These Terms & Conditions (the "Terms") form an agreement between you and YIPEE Labs AI ("YIPEE," "we," "us," or "our") when you use the YIPEE website, account, identity-verification flow, or authenticated product. If you use YIPEE for an organization, you confirm that you have authority to accept these Terms for that organization.
1. Agreement and service status
By accessing or using YIPEE, you agree to these Terms and the Privacy Policy. If you do not agree, do not use YIPEE.
YIPEE is a governed identity-content service, not a generic face-swap tool or a public social network. It separates verification of an adult person, private reference binding, production-use consent, and final-output approval. Some product surfaces are preview-only or disabled until their required provider, operational, and compliance controls are connected and tested. We will not represent a preview-only feature as available production capability.
2. Eligibility and accounts
You must be at least 18 years old and legally able to enter this agreement. Self-service access requires a real person who completes the configured identity-verification process. You may not create, buy, sell, share, or operate an account for another person, or use another person's account, identity, payment method, or verified information without express authorization.
You are responsible for keeping account credentials secure and for activity taken through your account. Tell us promptly if you suspect unauthorized access. We may require additional verification, restrict account access, or refuse account creation where necessary to protect people, prevent misuse, or comply with law.
YIPEE's self-service identity and generation features are adult-only. The proposed Family foundation is deliberately disabled and does not make YIPEE available for minors.
3. Your YIPEE Identity and Vault
Your YIPEE Identity represents your verified-person status, approved reference photos, and current permission for productions. It is not transferable, downloadable, sellable, or a reusable model. You retain control of your likeness; neither a collaborator, director, Studio, nor YIPEE employee receives ownership of it through an account, invitation, visibility setting, or production.
Stripe Identity verifies the adult person through its hosted flow. It does not by itself make a YIPEE Identity Ready or authorize a production. YIPEE requires accepted photos with profile, upper-body, and full-body coverage, one motion video, one speaking video, and explicit production-use consent before Ready status. A browser return does not decide verification; a signed provider event does.
You may request revocation or redaction using available controls or by contacting us. Revocation stops future eligibility but does not automatically unwind a production or export that was already validly approved, generated, delivered, or used.
4. Inputs, references, and consent
You may submit a creative brief, up to five context-only still anchors, one motion reference, and one voice or dialogue reference, subject to the product's current upload rules. The server selects approved Identity Vault images under the shared provider image limit. You must have all rights, permissions, and lawful grounds needed to submit every input and to request the intended use.
Do not use an uploaded image, video, voice sample, or anchor to make a non-participant the named or recognizable lead. Inspiration images may communicate costume, scene, art direction, composition, motion, or place; they never give permission to use another person’s likeness. Anyone featured as a recognizable lead must be Ready, consented, and included in the current participant list. If an anchor includes a non-participant person, YIPEE may reject it, require a version with that person removed, or block the production.
You grant YIPEE a limited, non-exclusive, worldwide, royalty-free right to host, copy, process, transmit to configured processors, review, and use your inputs only to provide, secure, improve the operation of, and enforce the rules of YIPEE. This limited service right ends when the applicable input is deleted or no longer retained under the Privacy Policy, except for the records we must keep for security, compliance, dispute, or audit purposes.
5. Productions and outputs
YIPEE uses the approved photos and creative brief for the video service chosen for a production. Results can vary and may contain errors, continuity issues, or material that needs review. YIPEE does not guarantee that any output will be accurate, suitable for a particular purpose, uninterrupted, available at a particular time, or free of third-party rights claims.
Generation is not model training. Your creative prompt remains the creative source, and the deterministic YIPEE boundary is intended to preserve it while making clear which approved identities may appear. Background people may be present where the scene reasonably calls for them, but they must not be matched to or promoted from non-participant reference material.
A video cannot be exported merely because it exists. Required identity, approved use, safety, continuity, and current-version approvals must be complete. Each required participant must approve the latest video version before export. You are responsible for reviewing every output before use and for obtaining any permissions that the output, brand, location, music, product, statement, or distribution channel requires.
6. Co-Creators and Shared Productions
Co-Creators supports two to four separately verified adults in a project-specific Shared Production. Invitations are private and may use a one-time link, a verified email route, or an exact handle where permitted by the recipient's visibility setting. A profile's discoverability never gives someone permission to use that profile's likeness.
Each participant must independently accept the exact current roster and scope. A material change to the roster, prompt, use, restrictions, settings, approved references, or other governed draft information invalidates prior acceptance and reopens consent. Participants may unanimously appoint one director to edit the draft; the director cannot approve identity use, final output, or consent for anyone else.
Shared Production credits are reserved only after the required acceptance and are split evenly where the product presents an Even Split. Each participant retains control of their own Vault material. No participant may inspect, download, reuse, or route another participant's Vault or voice material outside the authorized production. A block prevents future discovery, invitations, license requests, new collaboration, and future unexercised use in either direction.
7. Plans, trials, credits, and billing
YIPEE may offer trials, subscriptions, plan entitlements, or credit top-ups. The offer, price, included credits, applicable renewal period, and any usage limits presented at checkout or activation control for that transaction. A trial may require a Ready YIPEE Identity before its credits are usable. Credits are limited, non-transferable service entitlements; they are not cash, stored value, a bank account, or property, and cannot be sold, exchanged, or redeemed for cash except where law requires otherwise.
Billing is processed through Stripe when enabled. You authorize the applicable payment method for the charges shown at checkout, including applicable taxes unless stated otherwise. Manage a subscription through the provided billing controls where available. Cancellation, refund, dispute, tax, and renewal treatment are governed by the checkout terms, applicable plan details, and mandatory law; YIPEE does not promise a refund or a particular cancellation outcome unless it states one at the time of purchase or law requires it.
Before a generation, YIPEE quotes and reserves the necessary credits. A technical or provider failure that produces no accepted output releases the reservation through the ledger. A creative reroll or a new generation is a separate priced request. We do not promise automatic retries, free rerolls, or long-form assembly until those functions are connected and tested.
8. Likeness Licensing and Studios
Likeness Licensing is an Enterprise Preview. A Studio is an organization workspace managed by verified natural-person administrators; it is not a likeness identity. The current service can record versioned, project-specific proposals and decisions, but an accepted scope is an immutable negotiation record—not production permission.
Live business verification, KYB, payment collection, creator compensation, payouts, licensed generation, external API access, and licensed export remain disabled until YIPEE connects and validates the required controls. Do not rely on a license proposal or accepted scope as an authorization to access Vault material, create a production, pay a creator, or distribute an output.
9. Acceptable use and enforcement
You may not use YIPEE to:
- impersonate, depict, clone, or create an identifiable person without the authority and current consent required by YIPEE;
- submit another person's reference, voice, or government information as if it were yours;
- create sexualized, explicit, exploitative, abusive, harassing, defamatory, fraudulent, deceptive, or illegal content;
- create or distribute fabricated political speech, endorsements, scams, revenge content, relationship manipulation, or other deceptive impersonation;
- involve a minor, attempt to bypass adult verification, or seek to use the disabled Family foundation;
- circumvent identity, licensing, credit, moderation, security, rate-limit, or export controls; scrape the Discovery Center; or attempt to access a Vault, project, output, or account without authority; or
- use YIPEE in a way that infringes rights, violates law, or puts YIPEE, its providers, or other people at risk.
We may remove or restrict inputs, outputs, profiles, licenses, or access; preserve evidence; block a transaction; report suspected illegal activity; or suspend or terminate an account where we reasonably believe these Terms, safety rules, law, or another person's rights may be violated. Enforcement may be automated, human, or both, and availability of a report or appeal workflow does not require us to publish a particular outcome.
10. Intellectual property and feedback
YIPEE and its licensors own the service, software, interfaces, branding, and documentation. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the service for its intended purpose.
Between you and YIPEE, you keep the rights you already have in your inputs and likeness. You remain responsible for your inputs and intended distribution. If your plan or checkout expressly grants Commercial content use for an output, that permission remains subject to these Terms, project-specific approvals, provider terms, and applicable law. YIPEE does not promise that an output is copyrightable, exclusive, clear of third-party rights, or fit for a particular commercial use.
If you send feedback or suggestions, you grant us the right to use them without restriction or compensation, provided we do not use feedback to disclose your confidential Vault material.
11. Community standards and reporting
The Community Standards are part of these Terms. They explain prohibited identity use, commercial-content expectations, reporting routes, and how we may protect people and the service.
If you believe a YIPEE account, profile, invitation, production, or output violates these Terms or another person's rights, use the private in-product report where available and provide enough detail to locate the material. Review the copyright and reporting process before submitting a copyright concern.
YIPEE has not yet registered and published a designated copyright agent or activated a formal notice-and-counter-notice process. Until it does, a general message, account report, or this page is not a statutory takedown notice and does not create a particular legal response timetable. We will publish the formal route before accepting statutory notices for the live service.
12. Disclaimers, liability, and indemnity
To the maximum extent permitted by law, YIPEE is provided "as is" and "as available." We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and freedom from errors or harmful components. We do not warrant that a model, third-party provider, payment processor, network, or export destination will be available, safe, compliant, or suitable for your use.
To the maximum extent permitted by law, YIPEE Labs AI and its suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, goodwill, data, or opportunity; or the cost of substitute services arising from or related to YIPEE. Where liability cannot be excluded, our total liability for a claim will not exceed the greater of the amount you paid to YIPEE for the service giving rise to the claim in the twelve months before the event or US $100. Nothing in these Terms limits liability that cannot legally be limited.
You will defend and indemnify YIPEE Labs AI and its officers, directors, employees, contractors, and providers from claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your inputs, outputs, use of YIPEE, violation of these Terms, or violation of another person's rights or law. This indemnity does not apply to the extent a claim is caused by YIPEE's own unlawful conduct.
13. Suspension, termination, and changes
You may stop using YIPEE at any time. You may request account or identity deletion subject to the Privacy Policy, retention requirements, current project obligations, and applicable law. We may suspend, restrict, or terminate access if we reasonably believe it is necessary for safety, security, legal compliance, payment failure, or enforcement of these Terms.
We may change the service or these Terms as the product evolves. If a change materially affects your rights or obligations, we will update the date above and give additional notice where required. Continued use after the effective date means you accept the updated Terms, unless law requires another form of consent.
14. Legal terms and contact
These Terms do not create an employment, agency, partnership, joint venture, or fiduciary relationship. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, reorganization, or sale of assets. If a provision is unenforceable, it will be enforced to the maximum extent permitted and the remainder will remain in effect. A failure to enforce a provision is not a waiver.
YIPEE Labs AI has not yet supplied a governing-law, forum, legal-entity-registration, or physical-address notice for this pre-commercial release. We will publish those details before paid commercial availability. Until then, nothing in these Terms limits non-waivable protections that apply to you under mandatory law.
